This Terms of Service Agreement ("Agreement") is a legally binding contract between you ("User", "Customer") and Neuro Trade ("Company", "We", "Us"). By registering, purchasing, downloading, or utilizing the ScalpMate software ("Software"), you agree to be fully bound by the terms and conditions outlined below.
1.1. Not Financial Advice: ScalpMate is an algorithmic Trade Manager software tool for MetaTrader 4 (MT4) and MetaTrader 5 (MT5) platforms. Neuro Trade is not a registered brokerage firm, financial advisor, asset manager, or commodity trading advisor.
1.2. Market Volatility & Loss Risk: Foreign exchange (Forex), commodities, and index margin trading involve substantial financial risk and may not be suitable for all investors. You may sustain a total loss of your initial investment capital.
1.3. Order Execution: The Software automatically manages trade parameters (Take Profit, Stop Loss, Break-Even, Trailing Stop) for positions initiated by the User. Neuro Trade shall not be held liable for any trading losses, Margin Calls, or Stop-Out events resulting from broker latency, internet disruptions, software errors, or market slippage.
2.1. Limited License: Neuro Trade grants you a non-exclusive, non-transferable, revocable license to utilize the Software subject to payment of specified license fees.
2.2. Automated Account Binding: Each API Key is valid for ONE (1) MetaTrader trading account number. Once an account number is bound by the system upon initialization, the binding is permanent. Additional licenses must be purchased to operate the Software on separate MetaTrader accounts.
2.3. Anti-Reverse Engineering: Decompiling, reverse engineering, modifying, copying, or redistributing the Software binary (.ex4/.ex5) or source code is strictly prohibited. Violations will result in immediate license revocation without notice and potential legal proceedings under applicable copyright laws.
3.1. As ScalpMate is an intangible digital software product and API Keys are instantly generated upon payment completion, all sales are final and non-refundable.
3.2. Refund requests or payment chargebacks will not be honored for reasons including change of mind, trading losses, broker incompatibility, or failure to review setup documentation. By completing payment, you explicitly waive refund rights.
4.1. To the maximum extent permitted by applicable law, Neuro Trade, its directors, officers, employees, or affiliates shall not be liable for any direct, indirect, incidental, or consequential damages (including lost profits or lost trading data) arising from the use or inability to use the Software.
5.1. Affiliate referral commissions are credited exclusively for initial license purchases completed with a valid Sponsor Code.
5.2. Neuro Trade reserves the right to withhold payouts, suspend accounts, or forfeit commissions if fraudulent activity, self-referrals, or payment system manipulation is detected.
In compliance with personal data protection regulations, Neuro Trade collects only essential operational data: Full Name, Email Address, Phone Number, Bank Account Details (strictly for affiliate commission withdrawal payouts), and MetaTrader Account Numbers (for license verification).
Your data is used solely to process transactions, manage license accounts, deliver customer support, and issue critical system notifications. We NEVER request or store your MetaTrader account master trading password or brokerage funds.
We do not sell, rent, or trade your personal data to third parties. Data is shared exclusively with authorized transaction processing gateways (e.g. ToyyibPay) to fulfill order billing, or when required by lawful subpoena or court order.
We implement industry-standard password hashing and SSL encryption to safeguard user records. Our system uses session Cookies to maintain authenticated logins and accurately attribute affiliate referral codes.
This Agreement is governed by and construed under the laws of Malaysia. Any disputes arising hereunder shall be submitted to the exclusive jurisdiction of the Malaysian courts.
